These Terms and Conditions ("Terms") govern your use of the BrightLedger Accounting website (the "Site") and services (the "Services") offered by BrightLedger Accounting ("we," "our," or "us"). BrightLedger Accounting provides accounting and financial services to businesses in Australia. Our Services may include, but are not limited to, bookkeeping, tax preparation, financial reporting, business advisory, and other related accounting services.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice or liability.

3. User Accounts

Some features of our Services may require you to create an account. You are responsible for maintaining the confidentiality of your account information, including your password, and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

You are responsible for providing accurate and complete information when creating your account and keeping this information up to date. We reserve the right to terminate your account at our discretion without notice or explanation.

4. User Conduct

In using our Site and Services, you agree not to:

  • Interfere with or disrupt our Services or servers

5. Payment Terms

Fees for our Services are as specified on our Site or as agreed upon in a separate contract. All fees are in Australian Dollars (AUD) and do not include applicable taxes, which will be added to your invoice.

Payment terms are as follows:

  • Monthly plans are billed in advance on a monthly basis
  • Payment is due within 14 days of invoice date unless otherwise specified
  • Late payments may incur a fee and/or interest at our discretion
  • We accept payment via credit card, direct bank transfer, or other methods specified on our invoices
  • Prices are subject to change with 30 days notice

6. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of BrightLedger Accounting or its content suppliers and is protected by Australian and international copyright laws.

Our trademarks and trade dress may not be used in connection with any product or service that is not ours, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits us.

7. Limitation of Liability

To the maximum extent permitted by law, BrightLedger Accounting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for any claim arising from or relating to these Terms or our Services shall not exceed the amount paid by you to us during the six (6) month period prior to such claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless BrightLedger Accounting and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within Sydney, New South Wales, Australia.

10. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
